Gayatri Highways Completes 23% Acquisition in HKR Roadways

Gayatri Highways Limited (GHL) has announced the successful completion of its acquisition of 23.00% of the Equity Share Capital in HKR Roadways Limited (Target Company) from Kotak Special Situations Fund. The acquisition, initially proposed on February 12, 2026, with an indicative completion date of June 30, 2026, was subsequently extended to September 30, 2026. The transaction was officially concluded on August 27, 2026.

HKR Roadways Limited, incorporated on August 9, 2010, is involved in the four-laning of the Hyderabad - Karimnagar - Ramagundam Road (SH-1) on a Build, Operate and Transfer (BOT) basis. The company reported a total revenue of ₹264.03 crore for FY 2024-25. The acquisition does not fall under related party transactions, and GHL's group companies have no interest in the Target Company. This investment is considered beneficial for GHL's future growth prospects in the infrastructure sector. The necessary approval from the Roads & Buildings Department, Government of Telangana, was obtained. The acquisition involved a cash consideration, with the final price to be determined at the time of consummation of the proposed Securities Purchase Agreement. GHL acquired 10,67,729 fully paid-up equity shares of face value ₹10 each, representing 23% of the Target Company's share capital.
